Last Updated: September 16, 2026

These Free Tool Terms of Use ("Terms") govern access to and use of free software tools, dashboards, trackers, calculators, templates, applications, AI-enabled features, and other digital resources made available by Aubrenne LLC ("Aubrenne," "we," "us," or "our").

By accessing or using an Aubrenne free tool, you agree to these Terms.

If you do not agree to these Terms, do not use the tool.

These Terms apply to current and future free Aubrenne tools unless separate terms are expressly provided for a particular product.

1. Covered Tools

  • Market day command centers
  • Wholesale order trackers
  • Inventory and ordering trackers
  • Owner dependency trackers
  • Lead follow-up trackers

2. Business Use

Aubrenne tools are designed primarily for business and professional use.

Unless expressly stated otherwise, the tools are not intended for personal, household, medical, clinical, legal, tax, investment, or consumer-financial decision-making.

You must be at least 18 years old and legally capable of entering into these Terms to use Aubrenne tools.

3. No Consulting Relationship

Use of a free Aubrenne tool does not create a consulting, advisory, employment, partnership, agency, fiduciary, or other professional relationship between you and Aubrenne.

A consulting relationship with Aubrenne exists only if Aubrenne and the applicable client enter into a separate written agreement.

Information, calculations, recommendations, dashboards, templates, prompts, outputs, or other materials provided through a free tool do not constitute individualized consulting services.

4. Operational Aid Only

Aubrenne tools are designed to assist users with organizing, analyzing, understanding, or managing business information.

They are operational aids, not substitutes for professional judgment.

You remain solely responsible for:

  • Business decisions
  • Pricing decisions
  • Hiring and employment decisions
  • Operational changes
  • Financial decisions
  • Customer communications
  • Vendor decisions
  • Implementation decisions
  • Compliance decisions
  • Review of information generated by the tool
  • Determining whether information is appropriate for your circumstances

Aubrenne does not make decisions on your behalf merely because a tool generates information, calculations, recommendations, alerts, or suggestions.

5. No Guarantee of Results

Aubrenne does not guarantee that use of any tool will:

  • Increase revenue
  • Increase profit
  • Reduce expenses
  • Improve conversion
  • Improve employee performance
  • Improve customer retention
  • Increase productivity
  • Prevent errors
  • Identify every business problem
  • Produce accurate forecasts
  • Produce any particular business outcome

Business outcomes depend on factors outside Aubrenne's control, including the accuracy of user-entered information, market conditions, implementation quality, staff behavior, customer behavior, pricing, management decisions, and third-party systems.

6. No Professional Advice

Aubrenne tools do not provide legal, tax, accounting, investment, medical, clinical, insurance, cybersecurity, employment-law, regulatory, or compliance advice.

Outputs from a tool should not be treated as a substitute for advice from an appropriately qualified professional where such advice is required.

7. User Accounts

Some tools may require an account.

If you create an account, you are responsible for:

  • Providing accurate registration information
  • Maintaining the confidentiality of your credentials
  • Restricting access to your account
  • Using appropriate password and security practices
  • Activity occurring through your account
  • Promptly notifying Aubrenne if you believe your account has been compromised

You may not share credentials except where an Aubrenne tool expressly supports shared organizational access.

Aubrenne may implement additional authentication, permissions, or security requirements at any time.

8. Authorized Use

Aubrenne grants you a limited, revocable, nonexclusive, nontransferable right to use the applicable free tool for your own lawful business purposes, subject to these Terms.

This permission does not transfer ownership of the tool or any Aubrenne intellectual property.

9. Prohibited Use

You may not:

  • Copy or reproduce Aubrenne software except as expressly permitted
  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Circumvent security controls
  • Attempt unauthorized access
  • Probe or test vulnerabilities without written permission
  • Interfere with the operation of a tool
  • Use automated systems to overload, scrape, or abuse a tool
  • Resell access
  • Sublicense a tool
  • Rent or commercially redistribute a tool
  • Represent an Aubrenne tool as your own software
  • Remove proprietary notices
  • Use the tool to violate applicable law
  • Use the tool to infringe the rights of another person or business
  • Upload malicious software or code
  • Use the tool to obtain unauthorized access to another person's information
  • Use the tool to develop a substantially competing product through unauthorized copying of Aubrenne software, interfaces, or proprietary materials

10. Information You Enter

You retain ownership of business information, documents, records, text, data, and other content that you lawfully provide through an Aubrenne tool ("User Data").

You grant Aubrenne a limited right to host, process, transmit, reproduce, and otherwise use User Data as reasonably necessary to:

  • Operate the tool
  • Provide requested functionality
  • Maintain and secure the service
  • Diagnose problems
  • Prevent abuse
  • Provide support
  • Comply with applicable law

Aubrenne does not acquire ownership of your underlying User Data merely because you use an Aubrenne tool.

Use of User Data is also governed by Aubrenne's Privacy Policy.

11. Accuracy of User Data

You are responsible for the accuracy, completeness, quality, and legality of information entered into Aubrenne tools.

Aubrenne may rely on information you provide.

Outputs may be inaccurate, incomplete, misleading, or inappropriate if information entered into the tool is inaccurate, incomplete, outdated, improperly categorized, or otherwise unreliable.

Aubrenne is not responsible for decisions or results arising from inaccurate or incomplete User Data.

12. Sensitive Information

Unless a particular Aubrenne service expressly permits it in writing, you must not enter, upload, transmit, or store highly sensitive information through Aubrenne free tools.

Prohibited information includes:

  • Protected health information
  • Identified patient information
  • Medical records
  • Patient names associated with healthcare information
  • Social Security numbers
  • Government identification numbers
  • Bank account credentials
  • Online banking passwords
  • Payment card numbers
  • Authentication credentials
  • Passwords
  • Security codes
  • Private encryption keys
  • Confidential information belonging to another person or business that you are not authorized to disclose
  • Information subject to specialized regulatory requirements that the applicable tool is not expressly designed to handle

Aubrenne free tools should not be treated as HIPAA-compliant systems unless Aubrenne expressly identifies a specific service as such and appropriate written agreements are in place.

13. Your Responsibility for Third-Party Information

You represent that you have the legal right to provide any information you enter into an Aubrenne tool.

You may not upload another person's confidential, proprietary, personal, or regulated information without appropriate authorization.

You remain responsible for complying with contractual obligations, privacy obligations, confidentiality obligations, and applicable laws governing information you provide.

14. Aubrenne Intellectual Property

Aubrenne and its licensors retain all rights, title, and interest in and to Aubrenne tools and related intellectual property.

This includes, as applicable:

  • Source code
  • Object code
  • Software
  • Applications
  • Architecture
  • Database structures
  • Database schemas
  • Interfaces
  • Designs
  • Workflows
  • Automations
  • Prompts

  • Processes
  • Features
  • Improvements
  • Modifications
  • Derivative works
  • Product concepts
  • Generalized functionality

Except for the limited right to use a tool under these Terms, no intellectual property rights are transferred to you.

15. Templates, Reports, and Outputs

Some Aubrenne tools may generate reports, calculations, plans, templates, summaries, recommendations, or similar outputs based on information you provide.

You may generally use those outputs internally for your own business purposes.

Your right to use an output does not transfer ownership of the underlying Aubrenne software, methodology, template structure, algorithms, business logic, prompts, systems, or reusable components that produced it.

16. Feedback

You may voluntarily provide feedback, suggestions, feature requests, ideas, bug reports, or other comments regarding Aubrenne tools.

Providing feedback does not give you ownership of modifications, improvements, features, or products developed by Aubrenne.

Aubrenne may use feedback to develop or improve its products and services without an obligation to compensate you, provided Aubrenne does not thereby obtain ownership of your underlying confidential business information.

17. Improvements and Generalized Learning

Aubrenne may develop improvements, methods, functionality, workflows, templates, processes, or other generalized knowledge through operating and improving its products.

Aubrenne may use generalized methods, knowledge, improvements, and product learnings in its business, provided such use does not disclose your confidential User Data or represent your confidential information as Aubrenne's property.

18. AI-Enabled Features

Certain Aubrenne tools may use artificial intelligence, machine learning, large language models, automated analysis, or other computational systems.

AI-generated outputs can be incorrect, incomplete, outdated, inconsistent, or misleading.

You must independently review AI-generated outputs before relying on them.

You should not rely solely on an AI-generated output for significant decisions involving:

  • Employees
  • Customers
  • Patients
  • Legal obligations
  • Financial commitments
  • Pricing
  • Compliance
  • Safety
  • Contractual rights
  • Medical or clinical matters

Where a tool can generate actions, communications, recommendations, or business decisions, you are responsible for reviewing and approving those actions before implementation unless the tool expressly states otherwise.

Aubrenne does not guarantee that AI-generated information is accurate or appropriate for your circumstances.

19. Third-Party Services

Aubrenne tools may rely on third-party products and services, including:

  • Hosting providers
  • Database providers
  • Authentication services
  • AI providers
  • APIs
  • Analytics services
  • Email services
  • Cloud infrastructure
  • Payment services
  • Other software platforms

Aubrenne does not control all third-party services and cannot guarantee their continuous operation.

Use of certain third-party features may also be subject to the third party's terms and privacy practices.

20. Availability and Changes

Free tools are provided as a convenience and may be experimental, developmental, or subject to change.

Aubrenne does not guarantee:

  • Continuous availability
  • Any particular uptime
  • Continued support
  • Continued access to a particular feature
  • Preservation of any particular interface
  • Compatibility with third-party systems
  • Permanent storage of User Data

Aubrenne may add, modify, restrict, suspend, or discontinue a free tool or feature at any time.

Where reasonably practical, Aubrenne may provide notice of significant changes, but is not obligated to maintain a free tool indefinitely.

21. Data Export and Backups

Unless expressly stated otherwise, Aubrenne free tools should not be treated as your sole system of record.

You are responsible for maintaining appropriate copies and backups of business information that is important to you.

Where a tool provides an export function, you are responsible for exporting information you wish to retain before closing your account or discontinuing use.

Aubrenne does not guarantee that every free tool will support permanent storage or data export.

22. Suspension and Termination

Aubrenne may suspend or terminate your access if:

  • You violate these Terms
  • Your use creates a security risk
  • You misuse the tool
  • You attempt unauthorized access
  • Your activity interferes with other users
  • Aubrenne is required to do so by law
  • Continued operation creates unreasonable technical or business risk
  • Aubrenne discontinues the tool

Termination of access does not transfer any Aubrenne intellectual property to you.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUBRENNE FREE TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

AUBRENNE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ERROR-FREE OPERATION TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

AUBRENNE DOES NOT WARRANT THAT:

  • A tool will meet your requirements
  • Outputs will be accurate
  • Errors will be identified or corrected
  • Access will be uninterrupted
  • Data will never be lost
  • Third-party services will remain available
  • Use of a tool will produce a particular business result

Some jurisdictions do not permit certain warranty disclaimers, so some of these provisions may not apply to you.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUBRENNE LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO USE OF A FREE TOOL.

THIS INCLUDES, WITHOUT LIMITATION:

  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Business interruption
  • Loss of data
  • Loss of goodwill
  • Costs of substitute services
  • Decisions made in reliance on tool outputs

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUBRENNE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO A FREE TOOL WILL NOT EXCEED THE GREATER OF:

  1. The amount you paid Aubrenne for the particular tool during the twelve months before the event giving rise to the claim, or
  2. One hundred U.S. dollars ($100).

Because these tools are generally provided without charge, this limitation is intended to allocate risk appropriately between Aubrenne and users of free software.

Some jurisdictions do not permit certain liability limitations, so portions of this section may not apply to you.

25. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aubrenne LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from:

  • Your unlawful use of a tool
  • Your violation of these Terms
  • Information you upload without authorization
  • Your infringement of another person's rights
  • Your misuse of another person's confidential or regulated information
  • Your intentional circumvention of security controls

This section does not require you to indemnify Aubrenne for Aubrenne's own fraud, willful misconduct, or liability that cannot lawfully be shifted to you.

26. Privacy

Use of Aubrenne tools is also subject to the Aubrenne Privacy Policy.

The Privacy Policy describes how Aubrenne collects, uses, discloses, and protects information associated with its website and online services.

If separate written privacy or data-processing terms apply to a particular service, those terms may supplement these Terms.

27. Relationship of the Parties

These Terms do not create a partnership, joint venture, franchise, agency, fiduciary relationship, employment relationship, or consulting relationship between you and Aubrenne.

You have no authority to bind Aubrenne.

28. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles.

Any dispute arising from or relating to these Terms or an Aubrenne free tool will be subject to the dispute-resolution provisions below.

29. Dispute Resolution

Before initiating formal legal proceedings, you and Aubrenne agree to make a reasonable good-faith effort to resolve the dispute informally.

A party seeking to raise a dispute should provide written notice describing the issue and requested resolution.

If the dispute cannot be resolved informally within thirty days, either party may pursue available legal remedies.

Unless otherwise required by applicable law, any lawsuit arising from these Terms will be brought in the state or federal courts located in Denver County, Colorado, and each party consents to the jurisdiction of those courts.

30. Changes to These Terms

Aubrenne may update these Terms periodically.

Updated Terms will be posted with a revised "Last Updated" date.

Changes apply prospectively from the effective date of the updated Terms unless applicable law requires otherwise.

Continued use of an Aubrenne tool after updated Terms become effective constitutes acceptance of the updated Terms.

31. Severability

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

32. No Waiver

Aubrenne's failure to enforce a provision of these Terms does not waive Aubrenne's right to enforce that provision later.

33. Assignment

You may not assign or transfer your rights under these Terms without Aubrenne's written consent.

Aubrenne may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or transfer of the applicable product or business.

34. Entire Agreement

These Terms, together with the Aubrenne Privacy Policy and any additional terms expressly applicable to a particular tool, constitute the agreement governing use of Aubrenne free tools.

Separate consulting, software licensing, confidentiality, data-processing, or other agreements between Aubrenne and a client remain independently enforceable according to their terms.
